Our experience
  • We advise long term client SPAR (UK) Limited on a range of commercial and matters. This includes review and negotiations of complex supply agreements, and, recently, the appointment of Allwyn Entertainment Limited to manage SPAR’s National Lottery licence, enabling SPAR to sell tickets for National Lottery games throughout the UK.  We have also advised on delivery services arrangements with Deliveroo and Just Eat as well as on a variety of competitions and promotional activity, including a high profile campaign with Youtube sensation MrBeast.

 

  • We advised the British Marine Federation's London Luxury Afloat and Southampton International Boat Shows on a range of commercial matters, acting as an extension of our clients’ operations team. Our work included advising on a range of commercial matters including the drafting and negotiation of contracts with the suppliers, sponsors, brand ambassadors, social media influencers and Show exhibitors.

 

  • We support the in-house team of a market leader in network performance and cybersecurity - and the provider of a calm and constant source of protection and optimisation for mission critical platforms across the UK - with a range of supplier, partnership, reseller and customer contracts.  Our recent work has included a contract with a world-leader in converged broadband and video and mobile communications services; a master services agreement with a world class sporting provider; the negotiation of a key reseller arrangement to sell subscription products and a partner agreement to allow the use of software with our client’s managed services.  We have also advised on issues arising from the complex flow-down of licence terms from suppliers to end users our client’s service. Our intellectual property team also advised on has also advised our client on intellectual property aspects of its re-branding, including domain name acquisition.

 

  • We are the retained commercial contract advisors to one of the UK’s leading foodservice providers. We work alongside the company’s Legal, Procurement and Tenders teams to provide ongoing support for a range of commercial contract matters, including legal risk reviews for new tender proposals, advice on major new customer contracts and overflow support for the Legal team to during peak periods. Because of our considerable sector experience and pragmatic approach, we can provide a fast, high-quality and cost-effective way for the client to manage a large volume of contract work without having to recruit additional in-house resource.

 

  • We worked with a music industry client’s in-house team on overhauling its suite of templates, including royalty agreements, composer agreements, artist/performer agreements, service agreements, publishing agreements and master recording licences.  We also supported the client with specific projects, including advising on terms for a digital music subscription.

 

  • We act for the Business Software Alliance Inc (BSA) as their sole legal representatives in the UK and run the organisation's enforcement programme, acting against companies who are not properly licensed when using the software of BSA members.

 

  • We supported a university client’s central legal team on a wide range of commercial contract matters, including several procurements of catering and hospitality services, a series of trading terms for digital platforms and a partnership agreement for a University spin-out.
